General Terms and Conditions
1) General
For all offers, deliveries and services our general terms and conditions shall be exclusively applicable unless anything else was previously agreed, in written.
Deviating from the general terms and conditions is not accepted.Exceptions are allowed only if previously agreed in written.
2) Conclusion of contract
Our offers are subject to change without notice. An order shall be considered valid after receipt and acceptance from our part without any reservations.
3) Prices
If nothing else was previously agreed our offers are valid 30 days (from the issuing day)
For small volume purchase we are entitled to apply an appropriate surcharge.
4) Delivery Terms
Generally we deliver on your account and risk. If orders have a value of more than 400 Euro the delivery is free of charge,within Germany. The indicated delivery time is only an estimation, not binding.
We are not liable for delays, resulting from force majeure situations and other chain of events, situations like strikes, riots and civil commotions, oficial directives, natural calamities or absence of subcontracted supply and the customer is not entitled to any claim for damages.
Partial deliveries are permitted .
5) Liabillity
The customer shall inspect the goods immediately upon receipt and notify in written form any visible damage but no later than 5 days after receiving the goods .Transport damages are to be also notified immediately in the presence of the freight forwarder.Any retroactive notification will not be accepted .
We shall be not liable for minor variations in structure,colour,dimension or specifications.
If the goods are deficient and the objections were made in due time we assure you that we shall fullfil the rectification as we think it is appropriate or we shall replace it completely, if necessary.
In case the rectifications or replacement fails the customer is entitled to ask for compensation for the original merchendise value.
Other demands are excluded.
6) Reservation of Property
We shall reserve the property in the object of purchase until receipt of any and all payments under the delivery contract .
All asignments of receivables and claim are herewith ceased tu us and we hereby accept it.
7) Payment Terms
After issuing, if nothing else was previously agreed in written form, our invoices shall be paid within 10 days with 2% discount, if the buyer is not in default with the receivables or within 30 days, net .
8) Place of Jurisdiction
Fot this general terms and conditions and privity of contract the law of the Federal Republic of Germany shall govern the business relationship.
The place of performance shall be our headquarters.
9) Severability Clause
Should any of the provisions of the general terms and conditions be ineffective or void in part or in whole, the rest of the terms will remain unaffected. In fact if one of the clause of the provisions becomes ineffective or void, in part or in whole, it should be replaced with another clause which should have,as much as possible the same character.
